Software License Agreement
 
The provisions in this agreement are intended to state all of the rights and responsibilities between Electronic Healthcare Systems and the customer. They take the place of and supersede all warranties, expressed or implied.
You agree that all software will be afforded every security possible to prevent compromise by any other interested party. All information will be treated as proprietary and the information in this agreement will be considered confidential.
You agree that the information contained in all designs, drawings, manuals, instructions and other support documentation, as well as the software itself, are the property of Electronic Healthcare Systems and will be regarded as such. You will not translate, reverse engineer, decompile, disassemble, modify or patch the software executable files or documentation in any way. You have no right to sell, trade, or in any way negotiate the transfer of this information to another entity without prior written approval of Electronic Healthcare Systems. The software may not be distributed in conjunction with any other product without prior express written permission of Electronic Healthcare Systems. You agree to protect, to the fullest extent possible, the confidentiality of all information belonging to Electronic Healthcare Systems.
You will be responsible for system backup and for the proper use and management of software equipment. Electronic Healthcare Systems shall not be deemed to be in default of any provision hereof or be liable for any delay, failure in performance, or interruption of service resulting directly or indirectly from acts of God. Electronic Healthcare Systems' liability for breach of this agreement or for negligence or otherwise is limited solely to correcting any such defects or failure.
Electronic Healthcare Systems disclaims all warranties, either express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose with respect to the product. Should the program prove defective, the purchaser assumes the risk of paying the entire cost of all necessary servicing, repair or correction and any incidental or consequential damages. In no event will Electronic Healthcare Systems be liable for any damages whatsoever (including without limitation damages for loss of business profits, business interruption, loss of business information and the like) arising out of the use or the inability to use this product even if Electronic Healthcare Systems has been advised of the possibility of such damages. Use of this product for any period of time constitutes your acceptance of this agreement and subjects you to its contents.
